By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our website or services.

2. Scope of Services
Digital Rayala provides freelance e-commerce website design and development services, including but not limited to:
- Custom website design and development.
- Integration of e-commerce functionalities (e.g., product listings, payment gateways).
- Basic SEO setup and responsive design, as specified in the project agreement.
The scope, timeline, deliverables, and fees for each project will be outlined in a separate project agreement or contract signed by both parties. Any services beyond the agreed scope may incur additional charges.
3. Client Responsibilities
To ensure successful project completion, you agree to:
- Provide complete, accurate, and timely information, content, and materials (e.g., text, images, logos) required for the project.
- Respond promptly to requests for feedback, approvals, or clarifications.
- Ensure you have the legal right to use any content or materials provided to us.
- Maintain and update the website after project completion, unless a maintenance agreement is in place.
4. Payment Terms
- Fees: Service fees will be specified in the project agreement. A deposit (typically 50%) may be required before work begins, with the balance due upon project completion or as agreed.
- Payment Methods: Payments can be made via bank transfer, UPI, or other agreed-upon methods. Payment details will be provided in the project agreement or invoice.
- Late Payments: Overdue payments may incur a late fee of 5% per month on the outstanding balance. We reserve the right to suspend services for non-payment.
- Refunds: Refunds are not provided for completed work or deposits unless explicitly stated in the project agreement. If a project is canceled by the client before completion, the deposit is non-refundable but may be applied to future services at our discretion.
5. Project Timelines and Delivery
- Project timelines will be outlined in the project agreement. Delays caused by the client’s failure to provide required materials or feedback may extend deadlines.
- We strive to deliver projects on time but are not liable for delays caused by unforeseen circumstances (e.g., technical issues, third-party service failures).
- Upon project completion, we will deliver the website files or transfer the website to the client’s hosting platform, as agreed.
6. Intellectual Property
- Client Content:Digital Rayala retains full ownership of all website designs, code, and other deliverables until full payment is received. Upon final payment, ownership of the agreed deliverables transfers to the client, except for third-party tools or licensed assets, which remain subject to their respective licenses.
- Digital Rayala’s Work: Digital Rayala retains the right to display completed projects in our portfolio or marketing materials unless otherwise agreed in writing.
- Third-Party Assets: Any third-party tools, plugins, or assets used in the project (e.g., themes, fonts, payment gateways) are subject to their respective licenses, and the client is responsible for maintaining active licenses where applicable.
7. Revisions and Changes
- A specified number of revisions will be included in the project agreement. Additional revisions beyond the agreed scope may incur extra charges.
- Major changes to the project scope after work begins may require a revised agreement and additional fees.
8. Website Maintenance and Support
- Unless explicitly included in the project agreement, Digital Rayala is not responsible for website maintenance, updates, or hosting after project completion.
- Ongoing maintenance or support services may be available under a separate agreement.
9. Limitation of Liability
To the fullest extent permitted by law, Digital Rayala and Rayala Nagalakshmi shall not be liable for:
- Any direct, indirect, incidental, or consequential damages arising from the use of our website or services, including loss of profits, data, or business opportunities.
- Website performance issues caused by third-party hosting, plugins, or other external services.
- Errors or omissions in the website after delivery, unless covered by a maintenance agreement.
Our total liability for any claim related to our services shall not exceed the amount paid by the client for the specific project.
10. Termination
- By Client: You may terminate a project by providing written notice. Any work completed up to the termination date will be invoiced, and deposits are non-refundable.
- By Digital Rayala: We may terminate a project or suspend services for non-payment, failure to provide required materials, or breach of these Terms. In such cases, no refunds will be issued for work completed.
- Upon termination, all deliverables completed up to that point will be provided upon full payment of outstanding fees.
11. Third-Party Services
Digital Rayala may use third-party tools, platforms, or services (e.g., hosting providers, payment gateways, analytics tools) to deliver services. We are not responsible for the performance, availability, or terms of these third-party services. You agree to comply with their terms and conditions.
12. Confidentiality
We will treat all client information, including business details and project specifications, as confidential and will not disclose it to third parties except as required to deliver services or comply with legal obligations.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Krishna District, AP, India.
14. Changes to These Terms
We reserve the right to update these Terms at any time. The updated Terms will be posted on digitalrayala.com with the revised effective date. Continued use of our website or services after such changes constitutes acceptance of the updated Terms.
